    Terms of Service

    1. Acceptance of Terms

    By accessing and using Ordafy Shop ("Service", "Platform", "we", "us", or "our"), a product of Ordafy Limited, a UK company (Registration Number: RC:16063522), you accept and agree to be bound by the terms and provisions of this agreement. If you do not agree to these terms, please do not use our services. Your continued use of the Service constitutes acceptance of any modifications to these terms.

    2. Definitions

    • "User" refers to any individual or entity accessing or using the Service
    • "Provider" refers to users who create and manage products on the Platform
    • "Customer" refers to users who place orders or register for products
    • "Service provider" refers to users who list and manage services on the Platform
    • "Affiliate" refers to users who participate in our affiliate referral program
    • "Content" refers to all information, data, text, images, and materials on the Platform
    • "Product" refers to any physical or digital good listed for sale on the Platform (e.g. retail, crafts, digital downloads).
    • "Service" refers to any bookable service listed on the Platform (e.g. cleaning, tutoring, repairs, beauty, consulting).
    • "Service Booking" refers to a reservation of a service
    • "Order Item" refers to a purchased unit of a product (digital or physical pass for pickups/check-in)
    • "Commission" refers to earnings from the affiliate referral program
    • "Release" (or "release of funds") means Ordafy Shop's transfer of eligible funds to a provider's or service provider's connected Stripe account. Funds are payable only after eligibility conditions (e.g. product end, refund window) are met.
    • "Payout" (to bank) means the provider's or service provider's action of sending funds from their Stripe balance to their bank account (e.g. via Stripe Embedded Payouts).

    3. Eligibility and Account Registration

    To use our services, you must meet the following requirements:

    • You must be at least 18 years old or the age of majority in your jurisdiction
    • You must provide accurate, current, and complete information during registration
    • You must maintain the security and confidentiality of your account credentials
    • You are responsible for all activities that occur under your account
    • You must notify us immediately of any unauthorized access or security breach
    • You may not create multiple accounts or share your account with others
    • You may not use automated systems or bots to create accounts

    4. User Conduct and Prohibited Activities

    You agree not to:

    • Use the Service for any illegal or unauthorized purpose
    • Violate any laws, regulations, or third-party rights
    • Post false, misleading, or fraudulent information
    • Impersonate any person or entity
    • Harass, abuse, or harm other users
    • Distribute spam, malware, or viruses
    • Attempt to gain unauthorized access to our systems
    • Scrape, crawl, or data mine the Platform without permission
    • Interfere with or disrupt the Service
    • Create products that promote illegal activities, hate speech, or violence
    • Sell or transfer your account to another party

    5. Product Provider Responsibilities

    As a Product Provider, you are responsible for:

    • Providing accurate and complete product information
    • Ensuring your product complies with all applicable laws and regulations
    • Obtaining necessary permits, licenses, and insurance
    • Fulfilling all orders and honoring purchased items
    • Handling customer service and customer inquiries
    • Processing refunds according to your stated refund policy
    • Maintaining appropriate service capacity and safety measures
    • Protecting customer data and privacy
    • Paying all applicable taxes on product sales
    • Notifying customers of any product changes or cancellations
    • Managing product inventory and preventing overselling
    • Ensuring service compliance and safety standards when booking services

    Ordafy Shop is not responsible for the conduct of product sellers or the actions of providers. We reserve the right to remove products that violate our policies or applicable laws.

    5.1 Service Provider Responsibilities

    As a Service Provider, you are responsible for:

    • Providing accurate service information, including capacity, amenities, and availability
    • Maintaining accurate calendar availability and promptly updating booking status
    • Honoring confirmed bookings and providing the service as described
    • Ensuring service compliance with local laws, building codes, and safety regulations
    • Obtaining necessary permits, licenses, and insurance for service operations
    • Setting clear pricing, deposit requirements, and cancellation policies
    • Responding promptly to booking inquiries and requests
    • Conducting check-in and check-out procedures professionally
    • Reporting any damages or issues promptly and accurately
    • Protecting provider and customer data shared through the platform
    • Paying all applicable taxes on service booking revenue

    Ordafy Shop facilitates service bookings but is not responsible for the condition of services or the conduct of service providers. We reserve the right to remove services that violate our policies or applicable laws.

    5.2 Service Booking Terms

    5.2.1 Booking Process

    Service bookings are subject to availability and service provider approval. Bookings may require a deposit to secure the reservation. The remaining balance is typically due before or at the service date, as specified by the service provider.

    5.2.2 Cancellation Policy

    Cancellation policies are set by individual service providers and may vary. Cancellation fees and refund eligibility depend on the timing of cancellation and the service's stated policy. Ordafy facilitates refunds but does not guarantee them.

    5.2.3 Service Fees

    Service booking fees include:

    • Base service rental fee (set by service provider)
    • Platform service fee: 10% of booking total (minimum $0.95). All-inclusive fee that covers payment processing.
    • Cleaning fees, security deposits, and other charges as specified by the service provider

    5.2.4 Service Condition and Damages

    Customers are responsible for leaving the service in the same condition as received. Service providers may charge for damages, excessive cleaning, or violations of service rules. Disputes regarding damages will be resolved between the provider and service provider, with Ordafy facilitating communication when needed.

    5.3 Affiliate Program Terms

    5.3.1 Affiliate Eligibility

    To become an affiliate, you must apply through our platform and receive approval from Ordafy. Affiliate accounts are subject to review and may be suspended or terminated for violations of these Terms or our Affiliate Program policies.

    5.3.2 Commission Structure

    Affiliates earn commissions on:

    • Product sales: Commission on platform fees from products created by referred providers
    • Service bookings: Commission on platform fees from service bookings made by referred providers
    • Commission rates are determined by Ordafy and may vary by affiliate tier or promotional periods
    • Commissions are calculated on platform fees only, not on total transaction amounts

    5.3.3 Commission Payouts

    Commissions become available for payout after:

    • Products have ended and there are no active disputes
    • Service bookings have been completed and checked out
    • All refund periods have expired
    • Minimum payout threshold has been reached

    Payouts are processed via Stripe Connect. Affiliates must complete Stripe onboarding to receive payouts. Ordafy reserves the right to withhold payouts in cases of fraud, disputes, or policy violations.

    5.3.4 Prohibited Affiliate Activities

    Affiliates are prohibited from:

    • Self-referring (referring your own products or organizations)
    • Using spam, deceptive marketing, or fraudulent practices
    • Creating fake accounts or manipulating referral tracking
    • Violating intellectual property rights in marketing materials
    • Making false or misleading claims about Ordafy or its services

    6. Payments, Fees, and Financial Terms

    6.1 Payment Processing

    All payments are processed through Stripe, our third-party payment processor. By using our Service, you agree to Stripe's terms and conditions. We do not store your complete payment card information. Ordafy supports multiple currencies and payment methods globally.

    6.2 Product Order Fees

    Ordafy charges a platform fee on each product order, which includes:

    • Platform service fee: 7% per order item (minimum $0.75, maximum $50). All-inclusive fee that covers payment processing.
    • Free products: $0 per free order registration

    Fees are clearly disclosed during product creation and checkout. Providers can choose to absorb fees or pass them to customers.

    6.3 Service Booking Fees

    For service bookings, Ordafy charges:

    • Platform service fee: 10% of the total booking amount (minimum $0.95). All-inclusive fee that covers payment processing.
    • Additional fees may apply for deposits, cleaning fees, and other charges as specified by service providers

    Service booking fees are clearly displayed before confirmation. Providers are responsible for all fees associated with their service bookings.

    6.4 Fund Holding and Payouts to Providers (Option A)

    Customer payments for product orders are received by Ordafy and held by the platform until eligibility conditions are met. Funds are payable to providers only after eligibility conditions are met (as defined below). Until then, funds remain on the platform; Ordafy does not hold funds "on behalf of" providers, and providers do not have ownership of or a right to withdraw those funds before release.

    Payouts to providers are subject to Ordafy's eligibility rules and refund window:

    • Product must have ended
    • A refund holding period (e.g. 1 days after the product end date) must have passed
    • No active disputes or chargebacks on the relevant orders
    • Minimum release threshold: $0
    • Provider's Stripe Connect account must be in good standing

    When eligible, Ordafy releases (transfers) funds to the provider's connected Stripe account. After release, providers may pay out to their bank via Stripe (e.g. Stripe Embedded Payouts). Payout Methods: Providers receive releases via Stripe Connect. Manual payout requests (if offered) are reviewed and processed within 1-2 business days after approval. Please ensure your Stripe and bank details are accurate and verified.

    Payout fees charged by Stripe may apply when providers withdraw released funds to their bank account. These fees are set by Stripe and are visible in the provider's Stripe dashboard.

    6.5 Payouts to Service providers

    Service booking revenue is received by Ordafy and held until eligibility conditions are met. Funds are payable to service providers after eligibility conditions are met (booking completed, refund window passed, no active disputes, Stripe Connect in good standing). Ordafy does not hold funds "on behalf of" service providers before release.

    • Release after checkout completion and refund window (e.g. 1 days)
    • Deposit payouts: Processed separately according to service provider's deposit policy
    • Minimum release threshold: $10
    • Releases require completed Stripe Connect onboarding

    Payout fees charged by Stripe may apply when service providers withdraw released funds to their bank account. These fees are set by Stripe and are visible in the service provider's Stripe dashboard.

    6.6 Affiliate Commission Payouts

    Affiliate commissions are paid out according to:

    • Commissions become available after products end and service bookings complete
    • Minimum payout threshold: $25
    • Payouts processed via Stripe Connect (affiliates must complete onboarding)
    • Commission payouts may be delayed in cases of disputes or fraud investigations

    Payout fees charged by Stripe may apply when affiliates withdraw funds to their bank account. These fees are set by Stripe and are visible in the affiliate's Stripe dashboard.

    6.7 Refunds and Chargebacks

    Refund policies are set by individual businesses and service providers. Ordafy facilitates refunds but does not guarantee them. Refunds may be processed from platform-held funds (before release) or, if funds have already been released to the provider or service provider, from their Stripe account; in the latter case, our refund recovery process may apply (see our refund runbook and support documentation).

    In case of chargebacks, providers and service providers are responsible for providing evidence to dispute fraudulent claims. Excessive chargebacks may result in account suspension.

    For service bookings, refunds are subject to the service provider's cancellation policy. Ordafy will process refunds according to the stated policy, minus any applicable platform fees.

    6.8 Multi-Currency Support

    Ordafy supports transactions in multiple currencies. Currency conversion is handled by Stripe at current exchange rates. Providers and service providers receive payouts in their selected currency. Exchange rate fluctuations may affect final payout amounts.

    6.9 Taxes

    Providers and service providers are responsible for collecting, reporting, and remitting all applicable taxes on product sales and service bookings. Ordafy provides transaction reports but does not provide tax advice. Consult a tax professional for guidance. Affiliates are responsible for reporting and paying taxes on commission earnings according to their local tax laws.

    6.10 Order Management and Transfers

    Ordafy provides comprehensive order management features:

    • Digital order confirmations with QR codes for secure check-in/pickup
    • Order transfers between customers (subject to provider settings)
    • Multiple product variants and pricing tiers per product
    • Group packages and early bird discounts
    • Waitlist management for sold-out products
    • Real-time inventory tracking and capacity management

    Providers control transfer and refund terms. Customers must comply with provider policies and Ordafy's terms when transferring or reselling order items.

    7. Intellectual Property Rights

    7.1 Platform Ownership

    The Ordafy platform, including all content, features, functionality, software, code, designs, logos, trademarks, and service marks, is owned by Ordafy Limited.

    7.2 User Content License

    By posting content on the Platform, you grant Ordafy a worldwide, non-exclusive, royalty-free, transferable license to use, reproduce, distribute, display, and perform your content in connection with operating and promoting the Service. You retain all ownership rights to your content.

    7.3 Copyright Infringement

    We respect intellectual property rights and expect users to do the same. If you believe your copyright has been infringed, please contact us at support@ordafy.com with detailed information. We will investigate and take appropriate action, including removing infringing content and terminating repeat offenders' accounts.

    8. Privacy and Data Protection

    Your privacy is important to us. Our Privacy Policy explains how we collect, use, and protect your personal information. By using the Service, you consent to our data practices as described in the Privacy Policy.

    8.1 GDPR Compliance

    For users in the European Economic Area (EEA), we comply with the General Data Protection Regulation (GDPR). You have the right to:

    • Access your personal data
    • Rectify inaccurate data
    • Request deletion of your data (right to be forgotten)
    • Object to processing of your data
    • Data portability
    • Withdraw consent at any time

    8.2 Data Security

    We implement industry-standard security measures to protect your data, including encryption, secure servers, and regular security audits. However, no method of transmission over the internet is 100% secure, and we cannot guarantee absolute security.

    9. Disclaimers and Limitation of Liability

    9.1 Service "As Is"

    The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance.

    9.2 No Guarantee of Products

    Ordafy does not guarantee the quality, safety, or legality of products listed on the Platform. We are not responsible for product cancellations, changes, or provider conduct. Customers assume all risks associated with ordering products.

    9.3 No Guarantee of Services

    Ordafy does not guarantee the quality, safety, condition, or legality of services listed on the Platform. We are not responsible for service cancellations, changes, or service provider conduct. Providers assume all risks associated with booking and using services. We recommend conducting service inspections before finalizing bookings.

    9.4 No Guarantee of Affiliate Commissions

    Ordafy does not guarantee that affiliates will earn commissions. Commissions are subject to successful referrals, product completion, service booking completion, and compliance with our affiliate program terms. We reserve the right to withhold or reverse commissions in cases of fraud, policy violations, or disputes.

    9.5 Limitation of Liability

    To the maximum extent permitted by law, Ordafy shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

    • Loss of profits, revenue, or data
    • Business interruption
    • Personal injury or property damage
    • Unauthorized access to your account
    • Errors or omissions in content
    • Third-party conduct or content

    Our total liability shall not exceed the greater of (a) $100 or (b) the amount you paid to Ordafy in the 12 months preceding the claim.

    10. Indemnification

    You agree to indemnify, defend, and hold harmless Ordafy, its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from:

    • Your use of the Service
    • Your violation of these Terms
    • Your violation of any rights of another party
    • Your content or products
    • Your conduct as a provider or customer

    11. Dispute Resolution and Arbitration

    11.1 Informal Resolution

    Before filing a claim, you agree to contact us at support@ordafy.com to attempt to resolve the dispute informally. We will work in good faith to resolve disputes within 30 days.

    11.2 Binding Arbitration

    If informal resolution fails, disputes will be resolved through binding arbitration in accordance with the Arbitration Rules of the London Court of International Arbitration (LCIA). Arbitration will be conducted in London, United Kingdom, or another mutually agreed location.

    11.3 Class Action Waiver

    You agree to resolve disputes on an individual basis only. You waive any right to participate in class actions, class arbitrations, or representative actions.

    12. Termination and Suspension

    We reserve the right to suspend or terminate your account at any time, with or without notice, for:

    • Violation of these Terms
    • Fraudulent or illegal activity
    • Excessive chargebacks or refund requests
    • Abuse of the Platform or other users
    • Non-payment of fees
    • Inactivity for extended periods

    Upon termination, your right to use the Service ceases immediately. We may retain certain data as required by law or for legitimate business purposes.

    13. Changes to Terms

    We reserve the right to modify these Terms at any time. Material changes will be notified via email or through the Platform at least 30 days before taking effect. Your continued use of the Service after changes constitutes acceptance of the modified Terms. If you do not agree to the changes, you must stop using the Service.

    14. Governing Law and Jurisdiction

    These Terms are governed by the laws of the United Kingdom, without regard to conflict of law principles. Any disputes not subject to arbitration shall be brought exclusively in the courts located in London, United Kingdom.

    16. Miscellaneous

    15.1 Entire Agreement

    These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and Ordafy regarding the Service.

    16.2 Severability

    If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

    16.3 Waiver

    Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.

    16.4 Assignment

    You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.

    16.5 Force Majeure

    We are not liable for any failure or delay in performance due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, pandemics, or government actions.
